Abstract

Abstract

A company's repurchase of its own shares is considered one of the most significant developments in the financial transactions of joint-stock companies. In this process, the company—in accordance with specific terms and controls stipulated in corporate laws—buys back its shares traded in or outside securities markets from its shareholders. Upon the completion of the sale, the shareholder's relationship with the company concerning those shares is terminated. This process is conducted to safeguard the interests of the company, its creditors, and its shareholders. Companies resort to this method for various reasons and purposes, including reducing the company's capital, allowing to the dual advantages and benefits realized from both the repurchase process and the subsequent capital reduction. Given that the current Iraqi Companies Law provides only one method of capital reduction, canceling a number of shares equivalent in value to the amount of the reduction. Considering the inadequacy of this method for all cases and reduction scenarios, this study emphasizes the necessity of introducing an additional method: reduction through the repurchase and subsequent cancellation of shares.
